What we help with
Holding company structures
Putting a holding company above your trading company to protect cash and assets, or to prepare for growth.
Bringing in shareholders
Issuing shares to a new director, key employee or family member, including different share classes.
Separating businesses
Splitting a property or second business away from the trading company.
Preparing for a sale
Getting your structure right well before you sell or pass on the business.
How it works
- A meeting to understand your goals and the current structure
- A written plan showing the options and the tax consequences of each
- HMRC advance clearance applications where they are needed
- Companies House filings, share registers and accounting entries once it is done
Restructures often link to profit extraction planning and succession planning. We work alongside your solicitor, who prepares the legal documents.
Why Digivolve
We look after owner-managed companies across Haywards Heath and Mid Sussex, so we understand how a restructure affects your day-to-day accounts, payroll and personal tax, not just the deal itself. Our office is at Delta House on Bridge Road.
Reliefs and clearances we commonly use
| Relief or process | What it means |
|---|---|
| Share-for-share exchange | Inserting a holding company can usually be done without a CGT charge for shareholders, if the conditions are met |
| HMRC advance clearance | Applications under section 138 TCGA 1992 and section 701 ITA 2007 confirm in advance that HMRC accepts the transaction |
| Stamp duty relief | Relief can be available on share-for-share acquisitions when a new holding company is inserted |
| Substantial shareholding exemption | A trading group company may be able to sell a qualifying subsidiary free of corporation tax on the gain |
| Demergers | Separating trades or property into different companies can qualify for reliefs, but needs careful planning |

Restructuring FAQs
- Why would I set up a holding company?
- A holding company can help keep surplus cash and assets away from trading risks, make it easier to add new businesses, and help with a future sale. Whether it suits you depends on your plans.
- Will a restructure create a tax bill?
- Many restructures can be done without an immediate tax charge if they meet the conditions, and HMRC advance clearance can give certainty. We check this before anything is done.
- Do I need a solicitor as well?
- Usually yes, for share documents and agreements. We handle the tax, accounts and Companies House side and work with your solicitor.
